Terms of Service
Effective date: May 17, 2026
1. Agreement
These Terms of Service govern your access to and use of the PrismAMS platform, operated by PrismAMS LLC (“PrismAMS,” “we,” “our,” or “us”). By accessing or using the platform you agree to these Terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind that organization.
2. The Service
PrismAMS is a multi-tenant management platform for insurance agencies, wealth and financial practices, and professional associations. It is composed of modules — including CRM, policies, accounting, document management, the CallIntel calling integration, and optional bank-account connections — that each organization enables to fit its needs. We may add, change, or retire features over time.
3. Accounts & Access
You are responsible for keeping your account credentials and any API keys confidential, and for all activity under your account. Notify us promptly of any unauthorized access. Team members are assigned roles that govern their access, and your organization is responsible for the actions of its users.
4. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any regulation that applies to you
- Attempt to gain unauthorized access to the platform, other tenants' data, or related systems
- Disrupt or degrade the Service, or transmit malicious code
- Send unsolicited or unlawful communications through the platform
- Reverse-engineer the platform or exceed documented API rate limits
5. Subscriptions, Fees & Billing
Paid plans consist of a base subscription plus any add-on modules your organization enables. Billing is processed by Stripe; by subscribing you authorize recurring charges to your payment method for the plan and add-ons you select.
- You may cancel at any time through the billing portal; access continues through the end of the current paid period.
- If a payment fails, we will attempt to reach you; an account that remains unpaid for 30 days may be suspended until payment is resolved. Your data is retained during suspension.
- We will give at least 30 days' notice of any change to recurring pricing.
- Fees are non-refundable except where required by law.
6. Connected Systems & Credentials
The platform can connect to third-party systems you authorize — VoIP providers, agency management systems, carriers, and financial accounts. Credentials for these systems are encrypted at rest using AES-256-GCM, and you may revoke any connection at any time from within the platform.
Where you enable the bank-feed feature, account linking is performed through Stripe Financial Connections. You authenticate directly with your financial institution through Stripe’s secure flow; PrismAMS never receives or stores your banking login credentials. Your use of that feature is also subject to Stripe’s terms, and you agree that financial-account data is used only to provide the platform’s reconciliation and budgeting features.
7. Your Data & Intellectual Property
PrismAMS owns the platform itself — its software, design, features, and documentation. You retain ownership of the data your organization enters or connects: your clients, policies, records, and business information. You grant us the limited right to process that data solely to provide and support the Service, as described in our Privacy Policy.
8. Service Availability
We aim for high availability but do not guarantee uninterrupted service. The platform depends on third-party infrastructure and providers. We will give advance notice of scheduled maintenance where practical, and will work to restore service promptly after any unplanned interruption.
9. Disclaimers & Limitation of Liability
The platform is provided “as is.” To the maximum extent permitted by law, PrismAMS is not liable for indirect, incidental, special, consequential, or punitive damages; for lost profits or data; or for failures arising from third-party outages or from your own credential negligence. Our total aggregate liability for any claims arising from use of the Service is limited to the fees you paid to PrismAMS in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless PrismAMS, its officers, and its employees from claims, damages, and expenses arising from your use of the Service, your violation of these Terms or of applicable law, or content you transmit through the platform.
11. Termination
Either party may terminate at any time. You may cancel through the billing portal or by contacting support. We may suspend or terminate an account for violation of these Terms, with notice where practical. Following termination, your data is permanently deleted within 30 days, or immediately upon request.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved by binding arbitration in Spokane County, Washington, under the rules of the American Arbitration Association, with each party bearing its own costs.
13. Changes to These Terms
We may update these Terms from time to time. We will give at least 30 days’ notice of material changes by email. Continued use of the platform after changes take effect signals your acceptance; if you do not agree, you may terminate before they take effect.
